    Austrian shareholders of DE corp

    If we form a company in Delaware, can all of the shareholders and officers be Austrian citizens, even if we are doing business in both Austria AND the USA?

    The company will also own some real property (real estate) in the US and en Austria.

    Good news!

    You can all be Austrian and you can own property in the corporation. You do not need a US citizen involved.
    But you do need a registered agent in the US; you can just hire that for a nominal fee.

    Tax issues may require that you provide certain personal info and/or the company may have to hold back certain proceeds.

    But the DE corp law is indeed very flexible.

      The paying of taxes part get complicated.

      We had to hire a firm in the US to help us.
      That's one part that new companies need to think about. It's not a simple as you might think.

        Is Nevada really just as good as DE?
        What would most US business people think?
        DE has been doing it longer it seems?

          Both are popular incorporation states. And good for small businesses.
          You can then operate in any state as you likely know.

          The image of DE is slightly better some would say.
          And many fortune 500 companies are incorporated there.

            Unless you have some good reason, take Delaware.
            In the long run it easier to deal with the DE system.
            That is just my personal opinion.

            And as you likely have already, review all the many websites selling incorp. services and see what they say are the advantages of each.

            At the basic intro level they are both fairly similar these days.

              Can a Nevada corporation merge with a DE corporation?
              There is no prohibition ids there?
              And if so can either one be the survivor corporation?

                There is no prohibition on such a merger and either one could be the survivor, regardless of date of incorporation.

                  DE has a much more sophisticated corporate law history.
                  That's why half the Fortune 500 incorporate there.

                  It does not make a big difference for most start-ups but if the company grows and prospers, DE corporate law is much more advanced and experienced than any other state. Even more than New York.

                    As a resident of Nevada I can say that we usually think we have a better and easier system in NV.
                    And we have higher rates of growth of formation of new companies than DE, so customers would seem to agree!

                      Sorry one last issue if we could please, If we needed to file for a change of the corp. name, how quickly would that normally be processed, if you have any idea?
                      Is that days or months?

                        You file a one page form with the Sec of State and it is done and effective upon filing.

                        Very fast. A day or two.
                        I have done it 4 times last 10 years.
