Default What does the contract mean when it says that I must indemnify?

What does the contract actually mean when it says that I must indemnify the other side for any lawsuit brought against them?

Is indemnify like reimburse them in that context?

I am just selling them a piece of software I created,and the purchase price is just 27,000 dollars.

I wish to inform you that the word indemnify means that you are liable to pay amount other party is spending in lawsuit. In absence of any specific limitation you may become liable to pay expenses relating to litigation by your client.

I have to agree with Affa (this time).

For the kind of money you are getting you could be putting yourself at risk for multiples of that amount if the use of your software results in monetary damage to the end user.

Have the contract reviewed by an attorney.
